Jeffery S. Kuperstock

Experience

Jeffery S. Kuperstock is a principal in Ober|Kaler’s Finance Group. He represents institutional investors, asset-based lenders, private investment funds and issuers of privately placed debt. Much of his work is focused on the negotiation and documentation of secured, unsecured and structured financial transactions, as well as private debt and equity investments.

Among Jeff’s typical representations are transactions involving consumer receivable issues, Article 9 questions, intercreditor concerns, junior/senior lien issues, and exit strategies.

Jeff is experienced in drafting, negotiating and closing secured and unsecured loans, construction loans, receivables, purchase and hypothecation facilities, floor plan programs, mezzanine credits, private equity investments, secondary transfer of fund interests, institutional private placement of debt, and other structured financial transactions. He also prepares sophisticated financial covenants and drafts options, conversion rights and other equity kickers.
