Victoria A. Baylin is Counsel in Ober|Kaler's Business Group. An experienced corporate lawyer, she represents public and private national and international companies and individuals in virtually all aspects of corporate, operational, governance, human resources and business matters. Her clients include emerging growth, development stage and small to mid-sized operating companies and private individuals.
Formerly general counsel at a privately-held software company and an attorney in the corporate law practices of two DC law firms, Victoria brings more than fifteen years of experience in advising on the legal and business issues surrounding corporate formation, operations and growth.
She handles all aspects of corporate documentation, preparing and negotiating a wide range of agreements governing employment and consulting, management, shareholder relationships, options/rights plans, mergers, stock/asset purchases and financing. She also prepares and negotiates business agreements involving licensing and subscription, vendors, services, technology development and transfer, republishing, rebranding and reselling, joint ventures, non-disclosure, hosting and e-commerce, marketing, distribution, leasing and affiliates.
