Our clients include banks, leasing companies, pension funds, insurance companies and finance companies. We represent lenders in connection with acquisition, development, construction and permanent loans secured by residential real estate developments, office buildings, industrial buildings, marinas, condominiums and cooperative projects, medical facilities, apartment projects, shopping centers and other real property collateral. We also represent lessors in connection with the closing and syndicating of synthetic lease or off-balance sheet real estate loan transactions, including build-to-suit transactions subject to EITF 97-10. In this area, we have developed documentation satisfying the often-conflicting requirements of FASB regulations and state and federal taxing authorities, and we have utilized an approach that improves our clients' ability to protect their interests if a real estate synthetic lease transaction is recharacterized as a secured loan. |
