Breadth of experience:
The aviation tax and transactional practice group is comprised of attorneys with a wide range of experience in the areas of structuring of aircraft and aviation related transactions, tax planning and resolution of tax controversies relating to aircraft ownership and operations, legal and regulatory compliance including advice regarding requirements of the FAA, DOT, state aviation agencies and other related regulatory requirements, structuring and negotiating aircraft finance and leasing transactions, advising clients regarding aviation insurance matters and other relevant backgrounds.

Services:
Representation of clients in the areas of business and private aircraft ownership and operations:

  • Providing recommendations regarding specific ownership and operating structures that will best serve each client’s business and personal aviation needs;
  • Drafting and negotiating aircraft purchase agreements;
  • Negotiating terms of aircraft financing/leasing and drafting and negotiating related loan/lease documents;
  • Providing recommendations relating to methods of maximizing federal income tax benefits, including the structuring and implementation of tax deferred federal Code Section 1031 like kind exchange transactions (forward and reverse), and incorporating such recommendations into a client’s aircraft ownership and operating structure;
  • Structuring aircraft acquisition, ownership and operations to minimize the amount of state sales and use taxes imposed thereon;
  • Providing advice regarding the need for aircraft dry leases, time sharing agreements, similar arrangements and other items needed to comply with applicable federal and state regulatory requirements and drafting any necessary documents relating thereto;
  • Drafting and negotiating aircraft management and charter agreements and provision of advice relating to aircraft charter issues;
  • Representing clients with regard to federal and state income and sales tax audits and other controversies pertaining to the tax results of aircraft ownership and operation.
