Financial Institutions Ober|Kaler has significant experience in financial institution regulatory and corporate issues. Our regulatory experience covers all aspects of financial institutions regulation including, mergers and acquisitions (including resolution of dissenting shareholder problems), mutual conversions, expansion and definition of bank powers, lending limits, dealings with affiliates, proxy matters, fair lending, administrative and holding company issues. Complex regulatory issues are handled very efficiently by practice chair Frank Bonaventure, a former federal and state regulator.
Our credit experience includes the preparation and review of loan and lease of shelf paper documentation, the preparation and review of account agreements, electronic funds transfer agreements and other branch operations agreements, and advising clients with regard to compliance with applicable state and federal disclosure laws (including truth-in-lending and truth-in-savings), as well as state usury issues.
We also have substantial experience in the transactional side of financial institution mergers and acquisitions and are able to offer a full range of regulatory and transactional services. We represent acquirers and sellers in financial institution mergers, purchase and assumption transactions, holding company acquisitions, changes in control, and merger/conversions.
