  Experience  

An associate in the firm's Health Law Group, Alan focuses on transactional and regulatory law for the health care and nonprofit industry, including mergers and acquisitions, restructurings, joint ventures, corporate governance, managed care contracting, fraud and abuse, tax exemption and health care licensing.

A substantial portion of Alan's practice involves structuring, negotiating and implementing various health care transactions, including acquisitions of national health care companies, ambulatory surgical center joint ventures, in-store health care retail clinics, and transactions between health care providers and vendors and suppliers. Alan frequently prepares various health care services agreements, including management, independent practitioner association, group purchasing organization, medical billing, physician employment, medical director, ambulance and ambulette, telehealth, and long term resident care service agreements. In addition, Alan regularly advises nonprofit governing boards and board committees on tax-exemption law issues, conflicts of interest, bylaws preparation, and general corporate governance.

Corporate counsel to multi-provider joint venture to plan for statewide health information exchange

Transaction counsel in connection with the merger of national nonprofit scientific research corporations

Healthcare regulatory compliance counsel in connection with acquisitions of national laboratory, nursing home, and disease management companies

Advised national pharmacy operators on the resolution of overpayment issues, implications of the Medicare Part D fraud, waste and abuse program on "downstream" entities, structuring in-store health care retail clinics, state drug return and restocking laws, and compliance policies

Prepared documentation memorializing cross-funding arrangements between five health systems participating in a Medicare group application for geographic wage reclassification
