Jeff's practice concentration is in the representation of lenders and institutional investors in connection with the negotiation and documentation of secured, unsecured and structured financial transactions as well as private debt and equity investments. He is experienced in the drafting, negotiation and closing of secured and unsecured loans, construction loans, receivables, purchase and hypothecation facilities, floorplan programs, mezzanine credits, private equity investments, secondary transfer of fund interests, institutional private placement of debt, and other structured financial transactions (including the preparation of sophisticated financial covenants, and the drafting of options, conversion rights and other equity kickers). Typical transactions deal with consumer receivable issues, Article 9 questions, intercreditor concerns, junior/senior lien issues, and exit strategies.
Jeff's clients include institutional investors, asset-based lenders, private investment funds, and issuers of privately placed debt.
